If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

BizTrip AI provides an AI-powered corporate travel management platform that enables users to plan, book, and manage business travel through conversational AI agents. Our Service includes, but is not limited to: flight and hotel search and booking; real-time trip management and itinerary updates; expense tracking and reporting; travel policy compliance monitoring; and integration with third-party travel service providers.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

4. User Responsibilities

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for: verifying all travel booking details, including dates, times, destinations, and traveler information before confirming any reservation; ensuring that all travelers have valid travel documents, visas, and any required health documentation; complying with all applicable laws, regulations, and travel restrictions; maintaining the confidentiality of your account information; and promptly reviewing and responding to booking confirmations, itinerary changes, and other Service communications.

5. Booking and Payment

All bookings made through the Service are subject to availability and confirmation by the respective travel service providers. Prices displayed are subject to change until a booking is confirmed. You agree to pay all charges associated with your bookings, including applicable taxes, fees, and service charges. Payment terms, cancellation policies, and refund procedures vary by travel provider and booking type. You are responsible for reviewing and understanding the specific terms and conditions associated with each booking before confirmation.

6. AI-Powered Services Disclaimer

Our Service utilizes artificial intelligence to assist with travel planning, recommendations, and booking processes. While we strive for accuracy and reliability, you acknowledge and agree that: AI-generated recommendations and information are provided for convenience and should be independently verified; the AI system may occasionally produce errors, inaccuracies, or incomplete information; you are ultimately responsible for reviewing and confirming all travel details before booking; AI responses do not constitute professional travel advice and should not be solely relied upon for critical travel decisions; and the performance and capabilities of AI systems may vary and are subject to continuous improvement.

7. Third-Party Services

The Service integrates with and provides access to third-party travel providers, including airlines, hotels, car rental companies, and other service providers. Your use of third-party services is subject to the terms and conditions of those providers. We do not control and are not responsible for the actions, policies, or content of third-party providers. Any disputes regarding third-party services should be directed to the respective provider. We act as an intermediary and are not a party to the contracts between you and third-party travel providers.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by BizTrip AI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless applicable laws prohibit these restrictions or you have our written permission.

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of data as described in the Privacy Policy. 10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIZTRIP AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR ANY ERRORS, INACCURACIES, OR OMISSIONS IN AI-GENERATED CONTENT OR RECOMMENDATIONS. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless BizTrip AI and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms, your use of the Service, your violation of any rights of a third party, or any travel arrangements made through the Service.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability. You may terminate your account at any time by contacting us or using the account termination feature in the Service.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the State of Delaware. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least thirty (30) days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

15. General Provisions

These Terms constitute the entire agreement between you and BizTrip AI regarding the Service and supersede all prior agreements and understandings. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
